ServusOne Field Service Management Platform

These Terms of Service (“Terms”) govern your access to and use of ServusOne, our field service management software-as-a-service platform (the “Service”) operated by Tradeforce Systems (“Company,” “Provider,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. License & Access
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in the field service industry, subject to these Terms and your subscription plan.
Restrictions: You may not reverse engineer, decompile, or attempt to extract source code from the Service, or use the Service to develop competing products.
2. Accounts & Security
- Registration: You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.
- Security: You are solely responsible for maintaining the confidentiality of your login credentials and all activity under your account, including actions by employees, contractors, and authorized users.
- Notification: You must promptly notify us at legal@buildwithtfs.com of any unauthorized use or security breach.
- Age Requirement: Accounts are restricted to individuals who have reached the legal age of majority in their jurisdiction (18+ in most locations).
- Business Use: The Service is intended for business use only. Personal or non-commercial use is prohibited.
3. Subscription, Fees & Payment Terms
- Per-User Pricing: ServusOne uses per-technician pricing. Subscription fees are calculated based on the number of active technicians/users in your account.
- Billing Cycles: Subscription fees are disclosed at signup and recur according to your selected billing cycle (monthly or annually) until canceled.
- Taxes: All fees exclude applicable taxes (sales tax, VAT, GST, provincial taxes, or local equivalents). You are responsible for all taxes unless we are legally required to collect them on your behalf.
- Payment Processing: Failed payments, chargebacks, or disputed charges may result in immediate suspension or termination of service.
- No Refunds: Subscription fees are non-refundable. Cancellations stop future billing but do not trigger refunds for unused time; service access continues through the end of the current paid term.
- Price Changes: We reserve the right to modify pricing with 30 days’ advance notice to active subscribers.
- Free Trial: New customers receive a 14-day free trial. No credit card required for trial registration.
4. Acceptable Use Policy
When using ServusOne, you agree not to engage in the following prohibited activities:
(a) Security & Technical Abuse
- Attempting to gain unauthorized access to other accounts, systems, or networks
- Distributing malware, viruses, or other harmful code
- Circumventing security measures or authentication systems
- Conducting penetration testing without written authorization
(b) Content & Communication Violations
- Uploading, storing, or transmitting illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
- Impersonating others or providing false identity information
- Violating intellectual property rights of others
- Distributing spam, unsolicited marketing, or chain letters
(c) Service Abuse
- Using the Service for any unlawful purpose or in violation of applicable laws
- Interfering with or disrupting the Service or servers
- Attempting to overload, “flood,” or crash the Service
- Using automated scripts to create accounts or access the Service
5. Data & Privacy
- Your Data: You retain ownership of all data you input into ServusOne, including customer information, job details, schedules, and business records.
- Privacy: Our collection and use of personal information is governed by our Privacy Policy, incorporated by reference.
- Data Security: We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.
- Data Retention: Upon termination, we will retain your data for 90 days before deletion, unless required by law to retain longer.
- Backup & Export: You are responsible for maintaining backups of your data. We provide data export features for active accounts.
6. Service Availability
- Uptime Goal: We strive for 99.9% uptime but do not guarantee uninterrupted service availability.
- Maintenance: We may perform scheduled maintenance with reasonable advance notice.
- Force Majeure: We are not liable for service interruptions due to circumstances beyond our control.
7. Intellectual Property
- Our IP: ServusOne and all related technology, trademarks, and copyrights remain our exclusive property.
- Your IP: You retain all rights to your business data and content uploaded to the Service.
- Feedback: Any suggestions or feedback you provide may be used by us without compensation or attribution.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
- WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR INTEGRATIONS.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
10. Termination
- By You: You may cancel your subscription at any time through your account settings.
- By Us: We may suspend or terminate your account for violations of these Terms or non-payment.
- Effect: Upon termination, your access ends immediately, but data retention policies apply as described above.
11. Dispute Resolution
BINDING ARBITRATION: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. General Terms
- Governing Law: These Terms are governed by the laws of Wyoming, US, without regard to conflict of law principles.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
- Modifications: We may modify these Terms with 30 days’ notice. Continued use constitutes acceptance.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Assignment: You may not assign these Terms. We may assign them without notice.
